1. About these terms
These Terms & Licence (the "Agreement") govern your use of the SEAHORSE desktop application, the seahorseapp.co.uk website, and any related services (together, "Seahorse"), provided by Ironbridge Games LTD (Company No. 16882669), a company registered in England and Wales with its registered office at 2 Jarvis Place, St Michaels, Tenterden, TN30 6DQ ("Ironbridge", "we", "us", "our").
By installing or using Seahorse, or by signing up on our website, you ("the User", "you") agree to be bound by this Agreement.
2. Licence grant
2.1 Personal, non-exclusive licence
Subject to your compliance with this Agreement and the existence of an active Seahorse account at one of the tiers described below, Ironbridge grants you a personal, non-exclusive, non-transferable, non-sublicensable licence to install and use Seahorse for your own personal or internal business use on devices you own or control.
2.2 Accounts
To use Seahorse beyond the initial install, you must create a free Seahorse account using your email address. Sign-in is by magic link (we email you a one-time link to confirm), no passwords. The account holds your email, display name, tier, trial expiry (if applicable), and the list of devices you have activated. It does NOT hold the contents of your conversations, memory cards, notes, or any data Seahorse processes on your behalf. Those remain on your computer.
2.3 The Lifetime tier (first 50 sign-ups)
The first 50 individuals to sign up on seahorseapp.co.uk receive a Lifetime licence as a thank-you for helping during the teething (early-access) period. This licence is permanent, includes all future updates, and never converts to a paid tier, provided this Agreement is observed.
2.4 The Trial tier (30 days)
Everyone who signs up after the first 50, or who signs up after the teething period ends, starts on the Trial tier. The Trial gives you 30 days of full Seahorse functionality from the date your account is created. We will surface gentle in-app reminders as your trial approaches its end (typically at day 25 and day 28). When the 30 days end, your account moves to trial expired, after which Seahorse becomes read-only for a further 7 days (you can still see your memory cards and notes, but new pulses and chat sessions are paused) before locking. Your data on your computer is never deleted by us at any point during or after a trial. To unlock Seahorse again, you can purchase a Paid tier at any time.
2.5 The Paid tier (£4.99 one-off, rising to £9.99)
You can upgrade from Trial to Paid at any time by purchasing a Seahorse licence via Lemon Squeezy (the merchant of record). The launch price is £4.99 one-off. Ironbridge reserves the right to raise the price for new buyers in the future (currently planned at £9.99), but any User who has paid before a price rise retains their existing licence permanently at the lower price. The Paid licence is permanent and includes all future updates at no extra cost.
2.6 Device cap
A single Seahorse account may be activated on up to five (5) devices belonging to the licensed User. If you need to swap a device, the in-app device picker lets you remove an existing one. If you genuinely need more than five devices, contact henry@seahorseapp.co.uk and we will reset your activations.
2.7 What this licence does not include
- The right to redistribute, resell, sublicense, or share Seahorse with others.
- The right to reverse-engineer, decompile, or disassemble Seahorse, except to the extent permitted by applicable law (in the UK, principally section 50B of the Copyright, Designs and Patents Act 1988).
- The right to use Seahorse to build a competing product.
- Any rights in the SEAHORSE name, logo, branding, or trade dress.
3. Teething (early-access) period
During the teething period, Seahorse is provided on the Lifetime tier for the first 50 sign-ups and on the Trial tier for everyone else. This period is intended for bug-finding and feature shaping. Ironbridge will notify everyone on the signup list at least 14 days before teething formally ends, after which all new sign-ups start on the Trial tier and the Paid tier becomes the only route to permanent use.
4. Refunds
Because Seahorse is a digital product delivered immediately upon purchase, your UK statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 is normally lost once the licence key is delivered.
However, we offer a 14-day refund at our discretion if Seahorse does not work for you. Email henry@seahorseapp.co.uk within 14 days of purchase, explain briefly why, and we will refund you and revert your account to the trial_expired tier. After 14 days, refunds are at Ironbridge's sole discretion. Lemon Squeezy (the merchant of record) processes the refund.
Because the Trial tier gives you 30 days of full use before any payment, in practice most users will already know whether Seahorse is for them before they buy.
5. Updates and changes to Seahorse
Ironbridge may update Seahorse at any time to add features, fix bugs, or improve security. Updates are free for the lifetime of your licence. We may also retire features that are no longer viable. Where a retirement materially reduces what your licence covers, we will explain why in the relevant CHANGELOG entry and via email.
6. Your responsibilities
You agree to:
- Use Seahorse lawfully and in accordance with this Agreement.
- Keep your account credentials (your email magic links and session tokens) confidential and not share them with others.
- Not use Seahorse to break the terms of any third-party service you connect to it (Slack, Notion, Atlassian, Google, Microsoft, etc.). You remain bound by those services' terms when you use them through Seahorse.
- Not attempt to circumvent the account system, the trial expiry, the device activation cap, or any technical protections in Seahorse.
7. Data and privacy
Seahorse is designed to keep your data on your computer. Our handling of any personal data we do touch (your email, your licence key, optional anonymous telemetry) is described in our Privacy Policy. By using Seahorse you confirm you have read that policy.
8. Disclaimers
Seahorse is provided "as is" and "as available". To the maximum extent permitted by law, Ironbridge disclaims all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Seahorse uses artificial intelligence to assist you. AI output may be inaccurate, incomplete, or otherwise unsuitable for any specific purpose. You are solely responsible for verifying any output before acting on it. Do not rely on Seahorse as a substitute for professional advice (legal, medical, financial, or otherwise).
Nothing in this Agreement excludes or limits any rights you have as a consumer that cannot be excluded under UK law (including the Consumer Rights Act 2015), nor any liability for death, personal injury caused by negligence, or fraud.
9. Limitation of liability
To the maximum extent permitted by law, Ironbridge's total aggregate liability to you for any claim arising out of or relating to this Agreement or your use of Seahorse, whether in contract, tort (including negligence), or otherwise, is limited to the amount you actually paid for your Seahorse licence in the twelve (12) months preceding the claim, or £20.00, whichever is greater.
In no event shall Ironbridge be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, even if Ironbridge has been advised of the possibility of such damages. This limitation applies notwithstanding the failure of any limited remedy of its essential purpose.
10. Termination
This Agreement remains in force until terminated.
You may terminate at any time by uninstalling Seahorse and deleting any local data. Termination by you does not entitle you to a refund except as set out in Section 4.
Ironbridge may suspend or terminate your licence if you materially breach this Agreement (for example by attempting to redistribute Seahorse or circumvent the account system). Where the breach is capable of cure, we will give you reasonable notice before suspension.
On termination, your right to use Seahorse ends. Your local data on your own computer is not affected by termination and remains yours. Sections 7, 8, 9, 11, 12, and 13 survive termination.
11. Changes to this Agreement
We may update this Agreement from time to time. Where changes are material, we will email everyone with a licence at least 30 days before they take effect, and update the "last updated" date at the top of this page. If you do not agree with a material change, your remedy is to stop using Seahorse; we will, on request, refund any unused portion of a paid licence on a pro-rata basis.
12. Governing law and jurisdiction
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of this Agreement, save that nothing in this clause limits your right (if you are a consumer) to bring proceedings in your country of residence under applicable consumer law.
